At the extraordinary general meeting of Swissgrid Ltd on 10 December 2015, shareholders agreed to the proposals of the Board of Directors in conjunction with the increase in share capital in order to acquire additional facilities by 4 January 2016. The Swiss Federal Council is expected to approve the necessary change in the articles of association by the end of 2015.
As previously announced in the press release of 21 October 2015, Swissgrid intends to acquire additional facilities pertaining to the transmission grid as of 4 January 2016. Like the acquisition transactions completed in earlier years, the previous owners will be compensated with 30% Swissgrid shares and 70% with loans. The capital increase concluded on 10 December 2015 by the extraordinary general meeting of Swissgrid Ltd establishes the new Swissgrid shares needed for these acquisitions (each half registered shares A and registered shares B) in nominal value of CHF 2.9 million.
The resolution to again increase the conditional capital by CHF 1.3 million to CHF 130 million and to correspondingly increase the share capital by CHF 1.3 million was also passed at the extraordinary general meeting, as the conditional capital fell to CHF 128.7 million as part of the valuation adjustment for the facilities taken over as of 5 January 2015.
